A Public Limited Company (PLC) offers the advantage of limited liability and the opportunity to raise capital by selling shares to the public. Suited for large businesses in need of substantial capital, PLCs are governed by the Companies Act, 2013. They have the option to list on the stock market, facilitating the sale of shares to the public through Initial Public Offerings (IPOs). Discover the advantages, steps, and prerequisites involved in registering a Public Limited Company.
What is a Public Limited Company?
A Public Limited Company (PLC) is a business entity characterized by limited liability and the issuance of shares to the general public to raise equity capital. Governed by the Companies Act, 2013, PLCs are registered under the Ministry of Corporate Affairs. They require a minimum of seven members for incorporation, with at least three members serving as directors of the company.
Process of Public Limited Company registration
Registration of a Public Limited Company entails a fully digital process, making the acquisition of a Digital Signature Certificate (DSC) a mandatory step. Both directors and subscribers to the company’s memorandum must procure a DSC from certified agencies. This online procedure, typically completed within 24 hours, involves three straightforward verifications: document, video, and phone verification.
When applying for the name of a Public Limited Company, you can utilize the SPICe RUN form, which is integrated within the SPICe+ form. During the name application process, it’s essential to specify the industrial activity code and object clause of the company.
At the time of company registration, linked forms known as SPICe e-MoA and e-AoA must be drafted.
The Memorandum of Association (MOA), as per section 2(56) of the Companies Act 2013, serves as the cornerstone of the company, outlining its constitution, powers, and objectives.
Meanwhile, the Articles of Association (AOA), defined in section 2(5) of the Companies Act, delineate the rules and regulations governing the company’s management.
Upon approval of the aforementioned documents by the Ministry of Corporate Affairs, the company will receive its PAN, TAN, and Certificate of Incorporation from the relevant department. Subsequently, the company must proceed to open a current bank account using these documents. Should you require assistance with this process, feel free to reach out to us.
