The registered office of a company is its official address to which all official communications are sent. Apart from the registered office, a company may have other offices such as corporate, administrative, branch, or factory. However, the registered office must be registered with the Ministry of Corporate Affairs. The location of the registered office is decided by the promoters of the company. Once the registered office is declared through the filing of form INC 22, any changes to the registered office must be notified to the ROC.
The registered office determines the domicile of the company and also determines the jurisdiction of the Registrar of Company (ROC). Any changes to the address of the registered office must be communicated to the ROC within 15 days.
